Corporate Associate (Capital Markets and Public Companies)

Capital Markets and Public Companies Corporate Associate (AM Law 100)

3-4 days in office

Role:

The successful candidate will work closely with partners and senior associates to advise clients on capital markets transactions, securities law compliance, and corporate governance matters. This role offers an opportunity to engage with sophisticated clients, including public companies, investment banks, and institutional investors, in a fast-paced and dynamic environment.

Responsibilities:

  • Assist in the structuring, drafting, and execution of capital markets transactions, including initial public offerings (IPOs), follow-on offerings, debt offerings, and private placements.
  • Prepare and review securities filings with the U.S. Securities and Exchange Commission (SEC).
  • Support clients in meeting stock exchange listing requirements (e.g., NYSE, NASDAQ) and corporate governance standards.
  • Draft and negotiate transaction-related documents, such as underwriting agreements, indentures, purchase agreements, and legal opinions.
  • Conduct due diligence investigations in connection with securities offerings and other corporate transactions.
  • Provide counsel on disclosure obligations, insider trading policies, Regulation FD, and other securities law matters.

Qualifications:

  • Juris Doctor (JD) degree from an accredited law school and admission to the bar in the relevant jurisdiction (or eligibility to waive in).
  • 2–5 years of experience in corporate law, with a focus on capital markets, securities offerings, or public company representation (experience level may vary depending on the firm).
  • Strong understanding of U.S. securities laws and regulations, including familiarity with the SEC filing process.

Compensation:

$250-400k + bonus
